Terms of Sale and Use (ToS) — Global Juvason

These Terms of Sale and Use (hereinafter the “ToS”) define the legal and contractual framework governing access to, use of, and purchase of products or services on www.juvason.com (hereinafter the “Site”), as well as use of all software, extensions, and content published by Juvason, established in Canada (contact: contact@juvason.com).

By browsing the Site, purchasing a license, or downloading a Juvason product, the user (hereinafter the “User” or “Customer”) accepts these terms in full without restriction or reservation.

Article 1. Scope and description of the Juvason ecosystem

Juvason designs, produces, and distributes a multi-format catalog for creators, professionals, and individuals. These terms apply to the following four business areas:

1. Desktop software: Native, standalone applications running locally, developed for Windows (and later macOS and Linux), including the universal QuickConvert suite.
2. Audio extensions and plugins (VST): Signal processing modules and virtual instruments designed to integrate with digital audio workstations (DAWs) compatible with industry standards (VST, AU, AAX).
3. Mobile applications: Mobile software distributed through official store architectures, notably for Android.
4. Editorial content and media: Research articles, technical analyses, tutorials, and specialized reviews on computer-assisted music (DAW), production, and sound engineering.

Article 2. Intellectual property and code protection

2.1 Copyright and ownership

All elements of the Juvason ecosystem — including without limitation source code, algorithms, graphical interfaces (UI/UX), logos, documentation, and textual and analytical content of articles published on the Site — are the exclusive property of Juvason and are protected by Canadian and international copyright and intellectual property laws.

2.2 License grant

Purchasing Juvason software or a VST plugin does not transfer ownership. The Customer receives a personal, non-exclusive, non-transferable, revocable license to use the product.

2.3 Strict security restrictions (reverse engineering)

The User is strictly prohibited, under penalty of legal action and immediate revocation of licenses, from:

• Attempting to decompile, disassemble, decrypt, or reverse engineer executable files (.exe, binaries) or dynamic link libraries (.dll, .vst3) of software and VST plugins.
• Bypassing, modifying, or altering protection, encryption, or license key validation mechanisms.
• Redistributing, renting, selling, or sharing Pro license keys with third parties or on sharing platforms.
• Copying, reproducing, or plagiarizing technical articles, analyses, and DAW reviews published on the Site for commercial purposes without prior written authorization from Juvason.

Article 3. Financial terms and distribution models

3.1 Freemium licenses and trial versions

Juvason applies a transparency policy allowing evaluation of its technologies:

• Software (e.g. QuickConvert): Free version limited by quantitative caps (e.g. 10 files/day, 50 MB max per file, 3 simultaneous files) and without advanced modules (AI, images, video).
• VST plugins: Demo versions that may include intermittent audio restrictions (pink noise, cyclic silence) or time limits.

3.2 Professional (Pro) versions and lifetime license

Pro version purchase is a one-time payment on the Site or through authorized distribution channels.

• This purchase grants a lifetime license for the major version of the product acquired.
• Juvason does not charge recurring subscriptions for desktop software or VST licenses.

Article 4. Privacy and technology integrity (local-first)

Juvason is committed to designing tools that scrupulously respect user privacy.

• 100% local processing: All heavy processes (conversions, AI model execution, VST audio signal processing) run exclusively on the User's physical hardware (CPU/GPU/RAM).
• No global collection: No files, documents, audio streams, or personal data are uploaded to external servers.
• Voluntary diagnostics: As shown in the Settings tab of our software, error logging (Support log) is local. No diagnostic data is transmitted automatically. The User must initiate sending via Copy full diagnostic or Copy log when requesting technical support.

Article 5. Tool-specific liability

5.1 Use of download modules (Media Downloader)

Some Juvason software includes features to search and retrieve online media streams (Media Downloader).

• Scope of use: The User is solely responsible for use of this module. Juvason disclaims liability for downloading or converting copyright-protected content without rights holders' consent. This tool must be used exclusively for private copying or processing of rights-free media.

5.2 VST integration and host stability

VST plugins run within third-party software (DAWs). Juvason strives for maximum compatibility with market standards but cannot be held liable for instability, crashes, or loss of music projects resulting from conflicts between a VST plugin and an outdated or unstable host application.

Article 6. Governing law and jurisdiction

These ToS are governed by and construed in accordance with the laws of Canada. Any dispute arising from the application, interpretation, or performance of these terms will be submitted to the competent courts in Canada, without prejudice to mandatory consumer rights in your country of residence.
